Terms and Conditions

1. Definitions

In these Terms and Conditions ("Terms"), unless the context requires otherwise, the following expressions shall have the meanings set out below:

• "Platform" or "Katapic" means the software-as-a-service application accessible at app.katapic.com, including all associated APIs, mobile interfaces and documentation.
• "Provider", "we", "us" or "our" means Guido Di Pace, freelance professional, VAT No. (P.IVA) registered in Italy, with registered e-mail privacy@katapic.com.
• "User", "you" or "your" means any natural or legal person who registers for or accesses the Platform.
• "Account" means the personal area created upon registration, through which the User accesses the Services.
• "Services" means all functionalities offered via the Platform, including product digitisation, catalogue creation, AI-powered content generation, e-commerce integrations and social media management tools.
• "Content" means any data, text, images, product descriptions, catalogues or other material uploaded, created or generated through the Platform.
• "AI-Generated Content" means any text, description, image, product classification, category, suggested price or other output produced by the Platform's artificial intelligence features.
• "Credits" means the units of usage currency within the Platform that may be consumed to access certain features, including AI generation.
• "Subscription Plan" means any paid tier of service offered through the Platform, billed via Stripe.
• "E-Commerce Integrations" means the features enabling synchronisation of product data between the Platform and third-party online stores, including but not limited to Shopify, WooCommerce and other e-commerce platforms.
• "Social Media Integrations" means the present or future features enabling the creation, scheduling and publishing of content on third-party social media platforms, including but not limited to Instagram, Facebook, TikTok and other platforms.
• "Third-Party Platforms" means collectively any external service with which the Platform integrates, including e-commerce platforms, social media, payment service providers and artificial intelligence services.

2. Service Description

Katapic is a SaaS platform designed for businesses and professionals to digitise products, create and manage digital catalogues, and generate AI-powered product content. The Platform offers:

1. Product data upload, organisation and management;
2. Digital catalogue creation and customisation;
3. AI-powered product description generation, image enhancement, and content creation;
4. Export and sharing functionalities;
5. Integration with third-party e-commerce platforms (including Shopify, WooCommerce and others);
6. Social media management and publishing tools (present and future).

3. Registration and Account

3.1. To use the Services, you must create an Account by providing a valid e-mail address, your name, and a password. You warrant that all information provided is accurate and complete.

3.2. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your Account.

3.3. You must be at least 18 years of age to create an Account, and you must use the Platform exclusively for professional or commercial purposes. The Platform is not intended for minors and, pursuant to Italian Law No. 132/2025, access to the artificial intelligence features is not permitted to children under 14. If you are acting on behalf of a legal entity, you represent that you have authority to bind that entity to these Terms.

3.4. The Provider reserves the right to refuse registration or to suspend any Account that violates these Terms.

Eligibility and sanctions compliance

The Service is not available to natural persons resident in, or legal entities established in, countries or territories subject to international restrictive measures (including, without limitation, Russia, Belarus, the occupied regions of Ukraine, North Korea, Iran and Syria). By registering, you represent and warrant that you do not fall within those categories and that you are not a person or entity targeted by international sanctions. During registration you are required to declare your country of residence or establishment and to confirm this representation. Katapic reserves the right to refuse registration and to suspend or terminate any account found to be in breach of this clause.

4. Free Plan, Paid Plans and Credits

4.1. The Platform offers a free tier with limited functionality and a limited number of Credits. Paid Subscription Plans provide enhanced features and additional Credits.

4.2. Payment for Subscription Plans is processed exclusively through Stripe. By subscribing to a paid plan, you agree to Stripe's terms of service. The Provider never stores your credit card details; these are handled entirely by Stripe's PCI-DSS-compliant infrastructure.

4.3. Credits are consumed when you use certain Platform features (e.g., AI content generation). Credits are non-transferable and non-refundable except as required by applicable law.

4.4. The Provider reserves the right to modify pricing, plans, and Credit allocations. Any changes shall be communicated at least 30 days in advance via e-mail or in-app notification. Changes shall not affect the current billing period for existing subscribers.

4.5. Refunds for paid plans are governed by applicable consumer protection legislation. If you believe you are entitled to a refund, please contact us at privacy@katapic.com.

5. User Obligations

By using the Platform, you agree to:

1. Comply with all applicable laws and regulations;
2. Not upload content that infringes third-party intellectual property rights;
3. Not upload illegal, defamatory, obscene, or harmful content;
4. Not attempt to reverse-engineer, decompile, or disassemble any part of the Platform;
5. Not use automated scripts, bots, or crawlers to access the Platform without prior written consent;
6. Not resell, sublicence, or redistribute access to the Platform;
7. Not interfere with or disrupt the integrity or performance of the Platform;
8. Review and validate all AI-Generated Content, including titles, descriptions, prices, categories, images and any other data, before publishing, synchronising to e-commerce platforms, or using in any commercial context;
9. Verify the correct synchronisation of products on connected e-commerce platforms, including prices, stock quantities, images and categories;
10. Maintain adequate backups of your product data independently of the Platform.

6. Intellectual Property

6.1. All intellectual property rights in the Platform (including its source code, design, logos, and documentation) belong exclusively to the Provider.

6.2. You retain ownership of any Content you upload to the Platform. By uploading Content, you grant the Provider a limited, non-exclusive, worldwide licence to store, process and display such Content solely for the purpose of providing the Services.

6.3. This licence terminates when you delete the Content or close your Account, subject to reasonable backup retention periods.

7. AI-Generated Content

7.1. AI-Generated Content is produced by third-party artificial intelligence models integrated into the Platform. The Provider makes no guarantees whatsoever as to the accuracy, completeness, originality, correctness, or fitness for any particular purpose of AI-Generated Content.

7.2. You are solely and exclusively responsible for reviewing, verifying, editing, and approving any AI-Generated Content before publication, synchronisation with third-party platforms, or commercial use. Use of AI-Generated Content without adequate verification is entirely at your own risk.

7.3. AI-Generated Content may contain errors, inaccuracies, outdated information, incorrect prices, wrong categories, misleading or inappropriate descriptions. The Provider expressly disclaims all liability for any damage, loss or consequence arising from the use of unverified AI-Generated Content.

7.4. AI-Generated Content may inadvertently resemble existing copyrighted or trademarked material. Responsibility for verifying the lawfulness of content before use lies with the User.

7.5. You acknowledge and accept that artificial intelligence systems are inherently probabilistic and that results may vary in quality and accuracy depending on the input data provided.

8. E-Commerce Integrations

8.1. The Platform enables synchronisation of product data with third-party e-commerce platforms (including Shopify, WooCommerce and others). Such integrations are provided "as is" and are subject to the following conditions.

8.2. You are solely responsible for verifying that all synchronised product data, including titles, descriptions, prices, stock quantities, images, categories and barcodes, is correct and up to date on the destination e-commerce platform.

8.3. The Provider is not liable for:

• Loss of revenue, missed sales, cancelled orders, or any financial damage resulting from errors in product synchronisation;
• Incorrect prices published on your store due to synchronisation errors or AI-Generated Content;
• Incorrect stock quantities that may cause overselling or unavailability;
• Missing, corrupted, low-quality, or mismatched product images;
• Incorrect or unrecognised product categories or taxonomies on the destination platform;
• Interruptions, malfunctions, or changes to third-party e-commerce platform APIs;
• Suspension, penalties, or closure of your store by the e-commerce platform due to non-compliant data;
• Loss of product data during synchronisation;
• Any consequence arising from failure to update products when data is modified on Katapic or on the e-commerce platform.

8.4. You are required to periodically verify the synchronisation status of your products and to maintain active credentials for connected platforms.

8.5. E-commerce integrations depend on the availability and correct functioning of third-party platform APIs. The Provider cannot guarantee the continued availability or compatibility of such integrations.

8.6. You acknowledge that connecting e-commerce platforms involves sharing product data with external services. The Provider is not responsible for the data processing carried out by such Third-Party Platforms.

9. Social Media Integrations

9.1. The Platform offers or may offer in the future features for creating, scheduling and publishing content on third-party social media platforms. Such features are provided "as is".

9.2. The Provider is not liable for:

• Loss of visibility, followers, engagement, or reach on the User's social media accounts;
• Content published with errors, typos, or inaccurate information generated by AI and not verified by the User;
• Content published at unintended times or on unintended platforms due to User configuration errors;
• Suspension, penalties, or closure of the User's social media account by the social media platform due to non-compliant content;
• Failure to publish content due to interruptions in third-party social media platform APIs;
• Reputational damage resulting from the publication of unverified content by the User;
• Any negative impact on the User's social media performance metrics.

9.3. You are solely responsible for reviewing and approving any content before publication on your social media channels.

9.4. Social media integrations depend on the availability and correct functioning of third-party platform APIs. The Provider does not guarantee the continued availability or compatibility of such integrations.

10. Limitation of Liability

10.1. The Platform is provided "as is" and "as available". To the maximum extent permitted by law, the Provider disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose and non-infringement.

10.2. The Provider shall not under any circumstances be liable for:

• Indirect, incidental, special, consequential or punitive damages of any kind;
• Loss of profits, revenue, sales, customers, or business opportunities;
• Loss of data, goodwill, or reputation;
• Financial losses resulting from e-commerce synchronisation errors, including incorrect prices, outdated stock, or unpublished products;
• Damage resulting from reliance on AI-Generated Content without adequate verification;
• Loss of visibility, followers, or engagement on social media;
• Damage resulting from interruptions, malfunctions, or changes to integrated Third-Party Platforms;
• Damage resulting from unauthorised access to the User's Account.

10.3. In no event shall the Provider's total aggregate liability exceed the amount paid by you for the Services during the twelve (12) months preceding the event giving rise to the claim.

10.4. Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.

11. Suspension and Termination

11.1. The Provider may suspend or terminate your Account immediately if you breach these Terms, or if required by law.

11.2. You may close your Account at any time through the account settings or by contacting privacy@katapic.com. Account deletion will result in the permanent removal of your data in accordance with our Privacy Policy.

11.3. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) shall continue in force.

12. Governing Law and Jurisdiction

12.1. These Terms are governed by and construed in accordance with the laws of the Italian Republic.

12.2. Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the Tribunale di Napoli (Court of Naples, Italy), without prejudice to the User's right to bring proceedings before the court of their place of residence as provided by applicable EU consumer protection regulations.

13. Modifications to These Terms

13.1. The Provider reserves the right to modify these Terms at any time. Modifications shall become effective upon publication on the Platform.

13.2. For material changes, you will be notified via e-mail or in-app notification at least 30 days before the new terms take effect.

13.3. Continued use of the Platform after the effective date of modified Terms constitutes your acceptance of the modifications. If you do not agree, you must discontinue use and close your Account.
